1. Purpose 

The Global Impact Investing Network, Inc. (“GIIN”) is a nonpartisan, nonprofit 501(c)(3) organization dedicated to increasing the scale and effectiveness of impact investing to solve systemic problems facing people and the planet.  The purpose of GIIN Working Groups and Roundtables (the "Group") is to provide voluntary expert feedback to support the GIIN in the research and development of impact performance tools, metrics, and educational resources designed to increase the scale and effectiveness of impact investing.   

2. Scope of Work 

Corporations or organizations as represented by the individual Group participant, as well as the individual participants themselves (collectively, “Members”) may contribute their time and expertise to: 

  • Review and provide feedback on draft research and resources. 

  • Contribute public, non-proprietary data, experience, expertise, and/or case studies relevant to the project. 

  • Participate in scheduled meetings and thematic discussions. 

  • Provide feedback on the practical application of research findings and IMM resources for the impact investing industry. 

3. Voluntary Participation & Terms of Contribution 

Participation in this Group is strictly voluntary. By joining, Members expressly agree to be bound by the GIIN Terms of Contribution (https://thegiin.org/terms-of-contribution/) (“TOC”), provided, however, that all Members expressly acknowledge and agree that the Confidentiality provisions of the TOC are inapplicable, as non-public information may not be shared. 

4. Compliance & Ethical Conduct 

Members of the Group must adhere to the GIIN Compliance Obligations (https://thegiin.org/compliance-obligations/). Key obligations include: 

  • Anti-Corruption & Fraud: Prohibiting any form of bribery, corrupt practices, or fraudulent activity. 

  • Workplace Conduct: Maintaining a professional environment free from harassment and discrimination. 

  • Antitrust: Acknowledging that participation must comply with all applicable antitrust laws; the Group shall not be used to discuss competitively sensitive information, non-public information, or promote specific products/services.  Additional information on antitrust compliance will be provided during each meeting. 

5. Intellectual Property (IP) Ownership 

Notwithstanding anything else to the contrary, to ensure the research and IMM resources remain a public good managed by the GIIN, the following IP terms apply: 

  • GIIN Ownership: All "Work Product" (including but not limited to reports, frameworks, methodologies, benchmarks, tools, derivative works, and data aggregations) created, developed, or produced by the GIIN or the Group shall be the sole and exclusive property of the GIIN. 

  • Assignment of Rights: By participating in the Group, each Member hereby irrevocably assigns to the GIIN all right, title, and interest worldwide in and to any intellectual property created during the term of the project and resulting directly from the Member’s participation in the Group. This assignment explicitly excludes any intellectual property developed by a Member independently of the Group and without the use of Group resources or confidential information. 

  • License to Contributed Data: While the GIIN owns the final collective Work Product, each Member retains ownership of their raw, pre-existing data. However, and per the TOC, Members grant the GIIN a fully paid-up, royalty-free, non-exclusive, perpetual license to use, reproduce, and create derivative works from such data.   

6. Governance & Decision Making 

  • Chairmanship: The GIIN has the sole and exclusive right to appoint the Group Chair (“Chair”) and to change or substitute the Chair at its sole discretion.  It is anticipated that the Group will be chaired by a designated GIIN staff member. 

  • Chatham House Rule:  All Group sessions will be conducted under the Chatham House Rule.  Notwithstanding the Chatham House Rule, each Member decides independently whether or not they wish to be named as a contributor or otherwise acknowledged by the GIIN. 

  • Final Authority: While the GIIN values the Group’s input, the GIIN retains final editorial control and decision-making authority over all published information. 

  • Termination: The GIIN reserves the right to terminate a Member’s participation or the Group entirely at any time and for any reason, or for no reason at all.
