Terms of Contribution

CONFIDENTIALITY UNDERTAKING AND USE OF YOUR DATA

Thank you for agreeing to voluntarily contribute to the data repository owned, maintained and managed by the GIIN.  By continuing to use our websites, applications, and other products and programs you are expressly agreeing to these Terms of Contribution and this Confidentiality and Data Use Policy (the “Undertaking”).

Data:

Data includes any file or other material, or information submitted by you to the GIIN via our websites, applications, research instruments, products, and programs, as well as any other material or information submitted by you to the GIIN, whether directly or indirectly.

You will use reasonable efforts not to include information that (i) you do not have all legal rights and/or permissions to provide, (ii) contains sensitive personal data, (iii) violates a law, rule or regulation or a legal right of a third party, including intellectual property rights and a right to privacy, (iv) is libelous or defamatory, (v) is or is intended to be investment advice; or (vi) is obtained from unreliable sources or is materially inaccurate.

While some of your Data may be obtained from outside sources, in all instances you will only obtain and share with us data you believe to be reliable. You undertake no duty of due diligence or independent verification for any information you receive, and you understand and acknowledge that the GIIN and its authorized researchers are under no obligation to do so on your behalf.

Storage & Confidentiality:

Data will be stored in a repository on a secure, password-protected server. 

All researchers authorized by the GIIN and all GIIN employees receiving access to any of your Data will execute a Confidentiality Undertaking agreeing to maintain the confidentiality of your data and to store it in a secure, password protected electronic format.

Access to Data:

No person will be provided access to the original source (i.e. “raw”) Data except for researchers or employees who have been specifically authorized by the GIIN and who have, in each case, been made aware of the confidential nature of your Data and executed confidentiality undertakings no less strict than those contained herein.

Use and Ownership of Data:

Your Data may be coded, anonymized, and combined with third-party data, information or materials, and used solely for research, development of impact performance tools, and teaching on the impact investing industry (the “Purpose”).  We will only publish Data in an anonymized or aggregated manner and any researcher specifically authorized by the GIIN to access your raw data will execute an undertaking agreeing that data will only be published in an anonymized or aggregated manner and further agreeing that the GIIN will have the right to review and approve all publications in advance.

You hereby grant a fully paid-up, royalty-free, non-exclusive right and license to the GIIN and researchers specifically authorized by the GIIN to use, reproduce, distribute, display, and create derivative works (e.g., research presentations, reports, scholarly publications, or impact performance tools) from your Data solely for the Purpose. In presenting research findings publicly, researchers will share only non-identifiable summary statistics based on their analyses and will not share any data or information that could reasonably be used to identify any specific individuals, funds, or firms.

Other than explicitly described herein, by submitting Data you will not have transferred any ownership right or interest in the Data or Data components.

No Public Statements on Cooperation:

No GIIN researchers will make any public statement regarding your or your firm’s contribution without your or your firm’s prior written consent.  Similarly, you and your firm will not publicly use the names or logos of the GIIN or its researchers except using the approved citation method published in the final reports.

No Liability:

Neither the GIIN or researchers authorized by the GIIN on the one hand, nor you on the other hand, will be liable to the other for any type of indirect, special, consequential, incidental, exemplary, or punitive damages as a result of your provision of, or our use of, the data in accordance with this Undertaking.

All use of the GIIN’s websites, applications, products, programs, and services are governed by our Terms of Use.  In the event express terms of this document conflict with express terms in the Terms of Use, the express terms in this document shall prevail to the extent necessary to resolve the conflict.  Where this document is silent, the Terms of Use shall prevail.
